The deal would add approximately 266,000 net acres and roughly 20,000 barrels of oil equivalent per day in the oil-rich window of the Montney formation in northwest Alberta and northeastern British Columbia to Ovintiv's existing Montney position.
"This bolt-on transaction delivers value for our shareholders by adding high margin oil and condensate production and infrastructure, utilizing our operational advantage to drive significant synergies, and adding to our already deep drilling inventory and future growth optionality," Ovintiv President and CEO Brendan McCracken said in the release.
Ovintiv said it expects the acquisition to generate approximately $60 million in annual cost synergies and to add roughly 420 total net 10,000-foot equivalent oil well locations, including 220 premium return locations in the Simonette and Pouce Coupe areas of Alberta. The company's core Montney land position is expected to grow to approximately 720,000 net acres following closing.
The acquired assets include 100 per cent ownership of two new oil batteries in Simonette with combined capacity of 24,000 barrels per day. The first came online during the third quarter of 2026; the second is expected to come online by the end of the first quarter of 2027. Logan also holds partial interests in natural gas processing facilities in both Simonette and Pouce Coupe.
Ovintiv said the deal is expected to be immediately accretive, adding approximately five per cent to non-GAAP cash flow per share in 2027. The transaction is to be funded through a combination of cash on hand, borrowings under the company's credit facility and its commercial paper program. Following closing, Ovintiv expects its net debt to remain below $4 billion.
Logan's release said the $1.40 per share cash consideration, combined with a spin-out component valued at approximately $0.08 per share in Logan Oil Corp. shares, brings total consideration to $1.48 per Logan share. That represents a premium of approximately 17 per cent to Logan's 20-day volume-weighted average share price on the TSX Venture Exchange up to Oct. 23, 2026.
As part of the transaction, select Logan assets outside the Montney and Duvernay fairways will be spun out into Logan Oil Corp., a newly formed subsidiary, and distributed to existing Logan shareholders.
Logan was formed in July 2023 from the early-stage Montney assets of Spartan Delta Corp. and has grown production from approximately 4,500 barrels of oil equivalent per day at founding to a corporate record of 18,775 BOE/d in the third quarter of 2026, according to the company's release.
"We are incredibly proud of what the Logan team has accomplished in just over three years," Logan CEO Richard McHardy and President and COO Brendan Paton said in the release. "We would like to thank our 26 team members in Calgary and 27 in the field, whose relentless hard work and entrepreneurial spirit were instrumental in delivering this success."
The boards of both companies unanimously approved the transaction. Logan shareholders will vote on the arrangement at a meeting expected to be held on or about Jan. 4, 2027, where approval by at least 66⅔ per cent of votes cast is required. Directors and executive officers of Logan, who collectively hold or control approximately 16.6 per cent of outstanding shares, have signed voting support agreements.
The deal is expected to close early in the first quarter of 2027, subject to shareholder, court and regulatory approvals.
